Vendor Terms and Conditions

1. Agreement to Terms

By creating a vendor account or listing your products/services on ConTech Market ("Platform"), operated by Contech OS Limited (NZBN: 9429052988585, "we", "us", "our"), you agree to be bound by these Vendor Terms and Conditions ("Vendor Terms").

2. Vendor Relationship

Platform Role

• ConTech Market is a marketplace and discovery platform
• We are NOT your sales agent, broker, or partner
• We do not guarantee sales, leads, or specific outcomes
• All transactions occur directly between you and customers

Your Vendor Account

• Free to create and maintain vendor profiles
• You may list unlimited products/services
• You're responsible for all content you upload
• One primary account per vendor company
• You must maintain accurate, current information

3. Content License and Ownership

Your Content

By uploading content to the Platform, you:

• Retain ownership of your content
• Grant us a worldwide, non-exclusive, royalty-free license to:
  • Display your content to users searching for solutions
  • Process demo recordings and transcripts through AI systems
  • Create searchable indexes of your offerings
  • Generate recommendations that include your products
  • Analyze pricing patterns for market intelligence (aggregated)
  • Store and backup your content
  • Create previews and thumbnails

Types of Content Covered

• Product demos and recordings
• Sales presentation materials
• Pricing sheets and proposals
• Product documentation
• Case studies and testimonials
• Marketing collateral
• Implementation/customer success guides
• Sales call transcripts
• Interaction documents

Content Requirements

All content must be:

• Owned by you or properly licensed
• Accurate and not misleading
• Professional and appropriate
• Free from malware or harmful code
• Compliant with applicable laws
• Current and regularly updated

4. AI Processing and Market Intelligence

AI Training and Processing

You acknowledge and agree that:

• Your content trains our AI recommendation engine
• Demo transcripts improve natural language understanding
• Pricing data helps create market benchmarks
• Usage patterns inform platform improvements
• AI processing primarily occurs in the United States

Market Intelligence Creation

We create aggregated market reports that may include:

• Average pricing ranges by category
• Common feature requests across the industry
• Technology adoption trends
• Competitive landscape analyses
• Buyer preference patterns

We DO NOT:

• Sell your specific pricing to competitors
• Share your customer lists
• Reveal your proprietary methodologies
• Identify specific vendor strategies
• Provide vendor-specific data to other vendors

Data Protection

• Individual vendor data is never sold
• Aggregated insights require minimum 5 vendors per category
• Your proprietary information remains confidential
• Competitive intelligence is aggregated only

5. Vendor Obligations

You agree to:

• Provide accurate product information and pricing
• Respond to legitimate inquiries within 3 business days
• Update listings when features or pricing change
• Obtain necessary consents for uploaded recordings
• Not upload competitors' confidential information
• Maintain professional communication with users

You agree NOT to:

• Create fake reviews or testimonials
• Manipulate rankings or ratings
• Spam or harass Platform users
• Misrepresent product capabilities
• Engage in predatory pricing practices
• Share user contact information obtained through the Platform
• Circumvent Platform features or analytics

6. Customer Interactions

Lead Distribution

• Users choose which vendors to contact
• We don't guarantee equal lead distribution
• Lead quality and quantity vary
• No exclusive territories or categories

Communication

We're not party to your customer contracts

7. Intellectual Property

Our Property

The Platform, its features, and our market intelligence remain our exclusive property.

Your License to Use Platform

We grant you a limited, non-exclusive, non-transferable license to use the Platform for marketing your construction technology solutions.

Trademark Usage

• You may state "Available on ConTech Market"
• You may not imply endorsement or partnership
• Our logos require written permission
• Your trademarks remain your property

8. Pricing and Fees

The Platform is currently FREE for vendors.

Future Pricing Rights

We reserve the right to:

• Introduce vendor fees with 60 days notice

No Hidden Fees

We will never charge:

• Commissions on your sales
• Fees without prior notice
• Hidden processing charges

Analytics We Reserve

• Detailed user behavior patterns
• Comparative performance metrics
• Market-wide insights

10. Liability and Indemnification

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We're not liable for lost sales or opportunities
• We're not responsible for user actions or decisions
• We don't guarantee Platform availability

Your Indemnification

You agree to defend and hold us harmless from claims arising from:

• Your violation of these Terms
• Inaccurate or misleading information
• Intellectual property disputes

11. Termination

By You

• Close your account anytime via settings
• Export your data before closure
• Existing customer relationships continue

By Us

We may terminate your account for:

• Violation of these Terms
• Fraudulent or deceptive practices
• Extended inactivity (12+ months)
• Legal or regulatory requirements

Effects of Termination

• Your listings are removed
• Aggregated analytics remain
• Existing customer data preserved
• No refunds for any paid services

12. Confidentiality

Our Obligations

We'll keep confidential:

• Proprietary product information
• Internal sales methodologies
• Customer lists you upload

Exceptions

Confidentiality doesn't apply to:

• Publicly available information

• Information required by law
• Content you mark as public

13. Warranties and Representations

You represent that:

• You have authority to bind your company
• Your content doesn't infringe on others' rights
• Your products comply with applicable laws
• Information provided is accurate
• You have necessary licenses and permits

14. Changes to Terms

We may modify these Terms with:

15. Dispute Resolution
